Kuhnekt Terms and Conditions of Use

1. Platform as a Venue

Kuhnekt provides a digital marketplace and collaboration platform to connect manufacturers, suppliers and buyers, and to facilitate discovery, communication and collaboration between them. The Platform is a venue for introductions and communications — Kuhnekt is not a party to transactions between users unless explicitly stated in a separate written agreement.

Kuhnekt does not control and is not responsible for the quality, safety, legality or availability of product listings, the ability of users to perform under contracts, or the outcome of any negotiations or transactions entered into between users.

2. Services Offered

Kuhnekt may offer the following services (examples — subject to change):

• Premium Listings / Featured Supplier — priority placement and increased visibility.
• Verified Supplier — verification services based on document checks.
• Catalogue & Profile Tools — professional product catalogues and company profiles.
• CRM Tools — optional customer-relationship management tools to manage leads and interactions.
• Advertising/Marketing Packages — promotional and lead-generation services.

Additional or named services may have separate terms; those supplemental terms take precedence for that service.

3. Eligibility

You represent and warrant that you have the authority to use the Platform and to enter into binding agreements on behalf of any business you represent. The Platform is only available to:

• Natural persons aged 18 or older; and
• Legal entities authorized to operate under applicable law in the jurisdiction where they do business.

Kuhnekt may refuse services or suspend accounts at its discretion.

4. Account Registration

To access certain features, you must register and create an account. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for all activity under your account and must keep passwords confidential.

Kuhnekt may assign or withdraw subdomains, profile URLs or other identifiers and may suspend or terminate accounts for violation of this Agreement.

5. User Content and License

You retain ownership of content you post (product listings, images, descriptions, brochures, videos), but by posting you grant Kuhnekt a perpetual, worldwide, royalty-free, sublicensable license to display, reproduce, modify, adapt, publish, translate, distribute and use that content for the operation, promotion and improvement of the Platform and related services.

You represent and warrant that you have the rights to post all content and that such content does not infringe third-party rights or violate law.

Kuhnekt may remove or refuse content that violates this Agreement or appears unlawful or inappropriate.

6. Prohibited Content and Conduct

You agree not to use Kuhnekt or its services to:

• Post fraudulent, misleading, counterfeit, stolen, or illegal goods or services.
• Violate any third-party intellectual property rights.
• Transmit spam, chain letters, or unsolicited commercial messages.
• Post defamatory, obscene, hateful, or otherwise unlawful content.
• Share or request personally identifiable information in violation of data protection laws.
• Attempt unauthorized access to Kuhnekt systems or interfere with the Platform.

Any violation may result in content removal, account suspension or termination.

7. Interactions Between Users; Transaction Risks

Kuhnekt is not a party to transactions between users and does not charge commission on transactions unless otherwise agreed. Users assume all risks for transactions conducted because of Platform interactions, including but not limited to fraud, non-delivery, defects, customs, taxes, shipping, and regulatory compliance.

Users are encouraged to perform due diligence and may use Kuhnekt's optional verification and escrow/integrated services where offered.

8. Intellectual Property

All Platform content (design, layout, code, images, text, trademarks) is owned or licensed by Kuhnekt. You may not reproduce or use Kuhnekt logos or content without prior written consent.

9. Links to Third-Party Sites

Kuhnekt may link to third-party websites and services. We do not control and are not responsible for the content, privacy practices or terms of such third-party sites. You should review their terms and privacy policies before using those sites.

10. Termination and Suspension

Kuhnekt may suspend or terminate your access for breach of this Agreement, fraudulent activity, or for any reason at its discretion. In case of subscription services, Kuhnekt's refund policy (if any) will apply — see separate subscription terms.

Termination may include removal of listings, withholding of refunds, or permanent banning where appropriate.

11. Data Protection / Privacy

Personal data is processed according to Kuhnekt's Privacy Policy. By using the Platform you consent to the collection, use and disclosure of personal data as described in that policy.

12. Limitation of Liability and Indemnity

The Platform is provided "as is." Kuhnekt disclaims all warranties to the fullest extent permitted by law. Kuhnekt is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, business interruption, or loss of data, arising from use of the Platform or user transactions.

You agree to indemnify, defend and hold Kuhnekt, its affiliates and employees harmless from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your breach of this Agreement.

13. Notices

Notices to Kuhnekt must be sent to: Naga Tejesh Ede at tejesh@kuhnekt.co. Notices to users will be made via the email or contact information on file or by posting on the Platform.

14. Miscellaneous

Headings are for convenience only. Kuhnekt may assign its rights under this Agreement. If a provision is unenforceable, it will be severed without affecting the remainder.

Appendix — Service-Specific Terms

Certain Kuhnekt services (Premium Listings, Verification, CRM, Advertising) may have supplemental terms which will apply in addition to this Agreement.
